Terms of Service

These Terms govern your use of TenantThrift ("the Service"), a hosted software service provided by Simon Vedder, a sole proprietor at Schulstrasse 38, 8952 Schlieren (Canton of Zürich), Switzerland ("we", "us"). Contact: info@simonvedder.com. By creating an account or using the Service, you agree to these Terms together with our Privacy Policy and, for the Azure data we process on your behalf, our Data Processing Agreement.

The Service is intended for business use. If you use it on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms and to grant the Azure access the Service requires.

Eligibility & territorial restriction. The Service is offered only to businesses established outside the United States and Canada. By creating an account you represent that neither you nor the organisation you represent is resident or established in, or acting from, the United States or Canada, and you agree not to use the Service on behalf of such an organisation. We may refuse, suspend or terminate accounts, and decline or reverse payments, that do not meet this requirement.

1. The Service

TenantThrift is a hosted (software-as-a-service) tool. You connect one or more Microsoft Azure tenants by granting our application read-only access (administrator consent plus a Reader role). We then analyse your billing and resource metadata for cost-saving opportunities and present findings, cost analyses and downloadable reports. The Service is advisory and read-only: we never modify, stop, resize or delete your Azure resources. Any change based on our guidance is yours to review and carry out.

2. Accounts

You are responsible for the accuracy of your account details, for keeping your credentials secure, and for activity under your account. You must grant and maintain the Azure access the Service needs; if you revoke it, scanning stops.

3. Subscriptions & trial

New organisations get a time-limited free trial of the full product without a card. After the trial, continued use requires a paid subscription (Personal, Business, Enterprise or MSP). Each tier sets limits on the number of Azure subscriptions and tenants you may connect, as described at sign-up and on our pricing page. Subscriptions renew automatically each period until cancelled.

The MSP tier is charged per connected customer tenant: the recurring fee covers a number of tenants stated on the pricing page, and each connected tenant beyond that is charged at the per-tenant rate shown there. The billable count is the number of tenants connected and verified in your organisation, excluding any tenant still within its initial free period. Each tenant is free for the period stated on the pricing page, granted once per tenant; reconnecting a previously connected tenant does not grant a further free period. Connecting or disconnecting a tenant, and the expiry of a tenant's free period, change that count with effect from your next billing period. The current count and your next invoice amount are shown to you on the billing page at all times.

4. Payment & taxes

Prices are shown in euros and charged through our payment processor, Stripe. You authorise us (via Stripe) to charge your chosen payment method for each period. Prices are exclusive of any taxes that may apply; you are responsible for such taxes other than taxes on our income. Our current Swiss VAT status is stated in the Imprint.

5. Cancellation & refunds

You can cancel at any time from the billing portal; your subscription then remains active until the end of the current paid period and is not renewed. Fees already paid are non-refundable except where required by law. Because the Service is a digital service supplied immediately, where a statutory withdrawal right would otherwise apply you agree that supply begins at once and any such right ends once supply has begun.

6. Your responsibilities

You are responsible for your Azure environment and its costs, and for deciding whether and how to act on our findings. Savings figures are estimates and are not a guarantee. You must ensure you are entitled to grant us access to the tenants you connect and to any data they contain, and you must not connect a tenant you are not authorised to.

Access scope. The access the Service requires is read-only: administrator consent plus the built-in Reader role, and nothing more. You are responsible for granting and maintaining only that access. If you grant the Service broader or elevated access than we specify — whether deliberately, by mistake, or through a misconfiguration on your side, and whether or not prompted by us — you do so entirely at your own risk and remain solely responsible for that access and its consequences. We use only read operations regardless of the access granted. We may, but are not obliged to, detect or notify you of access that exceeds what we specify; where we do, scanning continues unless you reduce the access. Maintaining least-privilege on your side is your responsibility.

7. Acceptable use

You may not misuse the Service, attempt to breach its security or the isolation between customers, probe or scan our infrastructure, or use it to violate any law or third-party right. Except under the MSP tier, you may not resell or provide the Service to third parties.

8. Beta & availability

The Service is currently offered as a Beta. During the Beta it is provided free of charge or at a reduced rate, on a best-effort basis, without any uptime, support or service-level commitment; features may change or be withdrawn. We will give you notice before any paid plan begins.

We aim to keep the Service available and reliable but provide it on an "as available" basis without a guaranteed uptime commitment. We may perform maintenance, and we may add, change or remove features. We will not make a change that materially reduces core functionality of a paid plan without notice.

9. Data protection

How we handle personal data is described in our Privacy Policy. For the Azure metadata we process on your behalf we act as your processor under the Data Processing Agreement, which forms part of these Terms. You are responsible for having a lawful basis to provide that data to us.

10. Intellectual property

We and our licensors retain all rights in the Service, its software and its content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. The reports and findings we generate for you are yours to use within your organisation. "TenantThrift" and our logo are our marks.

11. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Findings and savings estimates are informational and are not financial, tax or professional advice; you are responsible for verifying them before acting.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, for lost profits or savings, or for any change you make (or do not make) to your Azure resources. Our total liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period. Nothing in these Terms excludes liability that cannot be excluded by law (such as for intentional or grossly negligent conduct).

13. Indemnification

You will indemnify us against third-party claims arising from your breach of these Terms, your misuse of the Service, your connecting a tenant or data you were not authorised to connect, or your granting the Service access beyond what these Terms specify.

14. Third-party services

The Service works with third-party platforms — notably Microsoft Azure and Entra, and our providers Stripe, Supabase, Vercel and Resend — each governed by its own terms. We are not responsible for those services, and TenantThrift is an independent product not affiliated with or endorsed by Microsoft.

15. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for non-payment, breach of these Terms, or where required by law. On termination your right to use the Service ends; deletion of your data is handled as described in the Privacy Policy.

16. Changes to these Terms

We may update these Terms; material changes will be notified in the app or by email and take effect on the date stated. Continuing to use the Service after that date means you accept the updated Terms.

17. Governing law & jurisdiction

These Terms are governed by the substantive law of Switzerland, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Zürich, Switzerland have exclusive jurisdiction, subject to any mandatory protections available to consumers in their place of residence.
